We don’t just view ourselves as your lawyer – we view ourselves as your partner and counselor. Your success is our success.

We work with our business clients to provide general business legal advice, assist in structuring and implementing major transactions, prepare contracts to address unique business opportunities and consult with clients to resolve other business and ownership issues. Our goal is to counsel you on the various issues and considerations involved in each step of a transaction while taking the time to understand your objectives and goals. We view ourselves as part of a team with our clients, and our role is to enable you to make well-informed, practical decisions for the long-term success of your company.

Start-up and Emerging Businesses

When you are starting your business, we know that you may be encountering certain legal issues for the first time – from forming the company, to hiring your first employee, to getting additional financing from your investors or a bank. We take tremendous joy in working with our clients to navigate these issues so that they can focus on the more important aspects of building and growing their businesses. We have the knowledge and expertise to provide you with guidance in navigating these issues in a way where you will be confident that you are making a well-informed decision. We are here to help.

We also have experience working with closely held and family-owned businesses. We view these types of clients as important relationships for both us and the clients, as we have developed the experience and expertise necessary to help these businesses align and balance the sometimes competing objectives of effective corporate governance, financial success and family harmony.

Mergers and Acquisitions

Mergers and acquisitions, and similar types of acquisition, exit or liquidity events, represent and important aspect of growing your business, and, for some of our clients, ultimately selling their businesses. Our attorneys have experience representing both buyers and sellers of companies on their merger and acquisition activities. These transactions are important – acquisitions that provide additional fuel to the growth of a business, or a liquidity event that might represent the end result of a lifetime of work. Our attorneys have the practical experience to structure, negotiate and document even the most complicated of such transactions.

In addition to working on the transaction itself, our attorneys actively counsel our corporate clients and their principals with certain pre-acquisition planning, including making recommendations to better position our client for the transaction and estate planning for our individual or family-owned clients so that the transaction is carried out as efficiently as possible.
